Profile

Darren is a public finance tax partner in the firm’s Austin office.

Darren’s practice focuses on the federal tax treatment of public finance transactions, including structuring debt issuances and lease financings, representing public agencies and conduit borrowers in tax controversy matters (including audits and closing agreement requests) and assisting issuers and conduit borrowers with post-issuance compliance matters. Additionally, he serves as special tax counsel to issuers, conduit borrowers and other law firms in tax and public finance engagements.

Darren is an active member of the National Association of Bond Lawyers (NABL). He previously served as a member of NABL’s Education and Member Services Committee, as a member of the 2016 Board Nominating Committee, vice-chair of the Tax Law Committee and vice-chair of the 2018 Tax and Securities Law Institute.

He is the author, with John K. McGill, of “Bond Financing for § 501(c)(3) Organizations” in A Guide for Colorado Nonprofit Organizations, a publication of the Colorado Bar Association.

  • Lead tax counsel on hundreds of financings for public school districts, community colleges, universities, and charter schools.
  • Lead tax counsel to several airports and public transit authorities in numerous bond financing transactions.
  • Represented hospital and healthcare clients in facility financings and entity acquisition and reorganization issues.
  • Represented public agencies and professional sports franchises in financings and disposition negotiations relating to professional sports stadiums and complexes.
  • Represented developers, public agencies, and investment banking clients in multifamily housing financings throughout the country.
  • Represented state agencies in structuring and executing pooled loan financing programs.
  • Lead tax counsel representing utility agencies in financing public power, water, and wastewater projects.
  • Lead tax counsel on issuances of private activity bonds for dock and wharf projects and solid waste disposal facility financings.
