Profile

Juan’s practice focuses on a variety of corporate and transactional matters, including cross-border finance, development, telecommunications, and mergers and acquisitions.

As a member of the corporate team, Juan maintains a general corporate practice and has represented a client base including international financial institutions and multilateral lenders, retail and consumer companies, and telecommunications companies.

While in law school, Juan interned for the Honorable Jose E. Martinez at the US District Court for the Southern District of Florida. He also counseled new ventures in need of legal assistance through the Startup Practicum, represented indigent clients in appellate procedures through the Federal Appellate Clinic, taught legal topics to local high school students as a Street Law Fellow, and was published in Volume 72 of the University of Miami Law Review.

Relevant Experience

  • Represent technology, media and telecom groups in connection with the construction, development and operation of subsea and terrestrial fiber optic networks in Western Europe, South America and the Atlantic Ocean.
  • Represented Banco Sabadell in connection with a $182 million syndicated mortgage loan to refinance Secrets and Breathless Resorts in Jamaica.
  • Represented Banesco (Panama), S.A., as borrower, in connection with a $150 million covered loan structured financing secured through a portfolio of residential mortgage loans.
  • Advised one of the main developers of housing projects, shopping centers, offices and mixed use in Central America, and seven of its subsidiaries, as borrower, in a refinancing with a Costa Rican financial institution of an amount up to $150 million, secured by real estate collateral in the region.
  • Represented Florida-based trade finance company in connection with a $30 million revolving credit facility secured by insured receivables originated from customers in multiple Latin American jurisdictions.  
  • Represented Sucro Can Sourcing LLC, the premier sugar trader in the Americas, and its affiliate BTG Ingredients, LLC, in connection with the amendment of a secured borrowing base facility with Macquarie Bank Limited, as the administrative agent, and Macquarie Bank Limited and Amerant Bank, N.A., as lenders.
  • Advised SC Americas Corp and its affiliates concerning the restructuring and recapitalization of the subsidiaries of SC Americas Corp.
  • Represented Inter-American Investment Corporation in connection with a financing of $430 million to Banco Daycoval S.A. in Brazil to help Daycoval expand its client base of small and medium-sized enterprises in the country and to increase gender equality and diversity inclusion.
  • Represented Inter-American Investment Corporation in connection with a financing of $37.5 million dollars to Nicaragua Sugar Estates Limited, the borrower and a leading company in the Nicaraguan sugar sector, to help finance agricultural and industrial investments to increase productivity sustainably and adapt its business to the effects of climate change.
  • Represented South American e-commerce company in connection with the guarantee of two credit facilities to subsidiaries in Brazil totaling 580 million Reais (approximately $107 million).
  • Provide pro bono assistance to a nonprofit chamber of commerce with corporate governance matters, including the review of minutes of the board and members and the revision of bylaws.
  • Represented, through a nonprofit, a medically vulnerable person held in ICE custody in seeking release due to COVID-19.
  • Represented Promerica Financial Corporation in its initial debt offering of $200 million senior secured notes pursuant to Rule 144A/Regulation S.
