Karen represents issuers, underwriters, placement agents, servicers, sponsors, and investors in mortgage- and asset-backed securitization transactions.

Karen also represents commercial and residential mortgage loan lenders and servicers in establishing various warehouse structures, including repurchase facilities.

Before joining Hunton Andrews Kurth, Karen was a member of the finance practice at two AmLaw 50 firms, where she focused on structured finance and securitization matters.

Relevant Experience

  • Represented one of the nation’s largest servicers of commercial mortgage-backed securities in public and private commercial and multifamily mortgage loan securitizations.
  • Represented underwriters and placement agents in public mortgage-backed securitization transactions.
  • Represented various private equity funds as lenders in subscription credit facilities and warehouse collateralized loan obligation credit facilities.
  • Represented sponsors in establishing commercial paper programs and the addition of co-issuers to existing commercial paper programs.
  • Negotiated, as finance counsel to the acquirer, the timeshare receivables financing and securitization aspects of an acquisition, which resulted in the largest upper upscale and luxury timeshare operator in a stock-based transaction with an equity value of approximately $1.4 billion.
  • Counsel to investment banks and commercial banks in performing and distressed residential and commercial mortgage loan warehouse lending transactions.
