Profile

Paige focuses on federal income tax issues related to structured finance and securitization and real estate investment trusts (REITs).

Paige represents REMICs, REITs and other pass-through entities; issuers and underwriters concerning tax issues in private and public mortgage-backed security and debt offerings, including the representation of US government agencies in mortgage loan securitization transactions; and issuers and underwriters in connection with public and private equity and debt offerings by REITs.

On a pro bono basis, she educates returning military volunteers on federal income tax return preparation.

Relevant Experience

  • Representation of issuers and underwriters concerning tax issues in private and public mortgage-backed security, REMIC, and debt offerings, particularly in connection with real estate assets, including representation of US government agencies in mortgage loan securitization transactions.
  • Representation of issuers and underwriters concerning tax issues in servicer advance facility financings.
  • Tax structuring and evaluation of collateralized loan obligation transactions including issues regarding US trade or business.
  • Representation of issuers and underwriters in connection with public and private equity and debt offerings by REITs.
  • Evaluation of mezzanine loans in connection with originations and acquisitions by REITs.
  • Representation of targets and acquirors in tax-deferred and taxable mergers and acquisitions, reorganizations, restructurings and dispositions, including tax-free spin-offs under section 355 of the Internal Revenue Code.
  • Pro bono instruction on federal income tax return preparation to military volunteers who will assist military families in preparing tax returns.
  • Pro bono evaluation of criminal cases for the Mid-Atlantic Innocence Project.
