Sarah is a corporate finance attorney with a focus on asset-based lending and securitization.

Sarah is a seasoned corporate finance attorney who has represented both lenders and borrowers in structuring and closing structured finance transactions involving term and revolving assets including residential and commercial mortgage loans, tax liens, servicing advances and RMBS. Sarah has also represented security guarantors and insurers, including the Government National Mortgage Association, in hundreds of deals over the course of her career.

Relevant Experience

  • Representation of Ginnie Mae in connection with its Mortgage-Backed Securities Program and Multiclass Securities Program including the development of the HREMIC Securities Program and expansion of the single family, Multifamily and Callable Securities Programs.
  • Representation of lenders and borrowers in mortgage warehouse facilities including both residential and commercial mortgage loans.
  • Representation of major US bank in connection with financings of multi-state residential tax liens.
  • Representation of major US bank as master servicer, trustee and/or bond and tax administrator on mortgage- and asset-backed securities transactions, including ongoing advice on post-closing matters.
  • Representation of originators, servicers, lenders and underwriters in servicer advance facilities.
  • Representation of issuers, securities guarantors and underwriters in securitization transactions.
  • Representation of financial guaranty insurance company in connection with the commutation of financial guaranty insurance policies.
  • Representation of bank-sponsored asset-backed commercial paper conduits in transactions involving trade receivables, mortgage loans and equipment leases.
  • Representation of companies in connection with sales of receivables and insurance products to asset-backed commercial paper conduits.
