Sittiwate is experienced in a variety of legal areas including general corporate and commercial deals, M&A, due diligence investigations, regulatory compliance, telecommunications and dispute resolution. Sittiwate was most recently with the dispute resolution and litigation practice at Herbert Smith Freehills.

Relevant Experience

  • Advising and representing one of Thailand's largest media companies in civil, criminal and labour litigations against ex-directors and executives in relation to false financial statements.
  • Advising and representing a leading motorcycle hire purchase financing company in a series of litigations including rehabilitation, civil and criminal cases. The cause of action of these cases are based on the alleged wrongful acts, avoidance of voidable of transactions and claim for damages in the total amount of THB 8 billion.
  • Advising and representing a leading company in steel industry business in relation to the rehabilitation as well as civil claims associated with the main rehabilitation case.
  • Advising KfW Bankengruppe (KfW) in the defense of the Baht 190 billion (approximately US$ 5.8 billion) claim against KfW, as a member of the creditor committees of Thai Petrochemical Industry Public Company Limited (TPI). The ground of the claim is tort committed during the reorganization process of TPI, a leading petrochemical company, and its shareholders/guarantors.
  • Advising a major roof tile manufacturer in Thailand in several cases in the Administrative Court against the government in connection with asbestos policy and product labelling requirements.
  • Advising a managing director of a leading, Thai state-owned bank as his personal legal advisor in reviewing banking contracts, preparing a financial restructuring plan for the bank, implementing public policies assigned by the government, initiating internal rules and regulations, negotiating labour disputes as well as regularly attending meetings with the bank’s management team in order to improve their day-to-day capacity.
  • Advising a leading, state-owned bank in Thailand as the legal advisor to the board of directors.
  • Advising one of the largest state-owned companies in Thailand on various legal issues regarding the acquisition of regional airports formally owned and operated by the government.
  • Advising one of the largest Thai state-owned companies in preparing an agreement in relation to the master concessionaire for duty free shops at the airports.
  • Advising a joint-venture company (a special purpose vehicle) established in Hong Kong in its joint investment and financing arrangement with a corporation entity engaging in the underground and open pit mining business in Canada.
  • Advising one of the largest Thai telecommunication service providers in its acquisition of a 25 percent equity stake in a leading e-Book company.
  • Advising a wholly-owned subsidiary of a leading distributing company in its acquisition of shares of a company incorporated and engaged in trading, distributing and manufacturing consumer products in Vietnam.
  • Advising a leading shopping mall in preparing lease agreements and an executive agreement for its indoor ski project.
  • Advising a solar energy company in connection with disputes arising from engineering procurement and construction contracts.
  • Advising a leading investor company in global major financial markets on regulatory compliance in relation to market manipulation.
  • Advising one of the largest telecommunication service providers in Thailand on several legal issues including the auction of the license to operate a 2.1 GHz spectrum, the auction of a license to operate digital TV, licence applications regulatory compliance, compliance with concessionary contract terms, advice in respect of various disputes arising out of the license to operate a satellite.
  • Advising a satellite TV product distributor and internet service provider on compliance.
