  • Bill’s practice focuses on corporate and commercial law and complex transactions (US and international), including mergers and acquisitions, joint ventures, commercial finance and secured lending, closely-held company governance and succession/liquidation transactions, and related matters.
  • He has been recognized in Chambers USA, among other surveys, as among leading business lawyers in North Carolina. Bill has chaired the Business Law Section of the North Carolina Bar Association and has held other leadership positions with that organization, including membership on its Board of Governors.

  • Counsel to public and private companies in sales or acquisitions of businesses or operating divisions, management buy-outs and joint ventures (U.S. and international) in a variety of industries.
  • Led legal due diligence teams in two multi-billion dollar negotiated mergers of public utility holding companies.
  • Counsel to various parties engaged in alternative and renewable energy projects.
  • Counsel to companies involved in multiple rounds of venture capital or other non-registered equity financing, investor-financed acquisitions, international expansion and strategic partnering agreements.
  • Counsel to technology-based companies, licensors/licensees, distributors and manufacturers.
  • Counsel to issuers and investors in private securities offerings.
  • Counsel to foreign investors and to U.S. companies obtaining financing from foreign investors.
  • Counsel to borrowers and lenders in a variety of secured and unsecured credit facilities (acquisition financing, working capital and asset-based financing and leases).
