Zach assists financial institutions with a broad range of corporate, securities and regulatory matters.

Zach represents financial institutions and their holding companies in corporate reorganizations, securities offerings, mergers and acquisitions, corporate governance, and general bank regulatory matters. He also assists clients in their reporting and disclosure obligations under federal and state securities laws and other regulations applicable to corporations and financial institutions.

  • Represented numerous commercial banks and bank holding companies in mergers and acquisitions (both sell and acquisition side) and branch sales and purchases.
  • Represented banks and bank holding companies in both private and public offerings of equity and debt, as well as advised on federal and state securities law compliance.
  • Represented Financial Center Credit Union in its merger with Valley Strong Credit Union.
  • Represented GEICO Federal Credit Union in its merger with Baxter Credit Union.
  • Counseled clients in the payments industry in connection with various transactional and regulatory issues.
  • Facilitated bank holding company formations.
  • Assisted bank holding company in Subchapter S election.
